1. What the Application does

The Application is a technical means that helps a Shopify store meet Polish structured e-invoicing obligations. It captures and validates a buyer’s tax identifier (NIP), enriches buyer company data from public tax registries, builds a structured invoice in the FA(3) format, submits it to Poland’s KSeF — either directly with your token or through the Fakturownia partner, at your choice — and delivers and archives the resulting document.

The Application is not an accounting service, a tax advisor, or a certifying authority.

2. Your role and responsibilities — you remain the taxpayer

This is the core of the arrangement and the basis of everything below.

3. Account, installation and eligibility

The Application is installed from the Shopify App Store into a store you control. You must be able to bind that store lawfully. Access is per store; using it for stores you do not control requires their operator’s authorisation.

We aim to respond to support requests within one business day on every plan, and within 8 business hours on the Pro plan (priority queue). These are response targets, not guarantees of resolution time.

6. Availability

We aim to keep the Application available continuously, but we do not warrant uninterrupted or error-free operation. The Application depends on third parties outside our control — Shopify, KSeF (Ministry of Finance), the Fakturownia partner where selected, tax registries (Biała lista, VIES), NBP exchange rates, and our email provider. Where KSeF is unavailable, the Application follows the statutory offline procedure and re-submits once the register returns.

7. Data protection

Our processing of personal data is described in the Privacy note. Where we process buyer personal data on your behalf you are the controller and we act as a processor — specifically, a sub-processor in the Shopify processing chain; the Data Processing Agreement governs that relationship and forms part of these Terms (available on request at privacy@truewheel.app). Invoice data is subject to statutory retention that overrides erasure requests (Art. 17(3)(b) GDPR).

8. Our intellectual property

The Application, its source, and its documentation remain ours. These Terms grant you a non-exclusive, non-transferable right to use the Application while your subscription is active. Your data, your invoices, and your merchant content remain yours.

We may update these Terms as the Application or the law changes. Material changes will be announced through the Application or by email before they take effect. Continuing to use the Application after the effective date constitutes acceptance.

12. Governing law and disputes

The governing law and venue will be specified here upon incorporation of the operating entity. Until then, these Terms are governed by the mandatory law applicable to you as a merchant; mandatory consumer-protection and local-law rights that apply to you are in any case unaffected.
